We are seeking a skilled and strategic Transactional Attorney with excellent business judgement to be the first team member to fill out our new Legal Team, serving under our General Counsel and Vice President of Policy.
In this role you will provide invaluable support on a variety of fronts, with a focus on scaling our procurement and transactional capabilities and developing the related strategies. Work will span from executing (and creating systems to scale our) everyday NDA and procurement contracts, to crafting highly complex and FOAK commercial agreements, joint ventures, government transactions, technology partnerships, and key business agreements. As part of this. you will also be responsible for establishing key processes, trainings, and tools to enable Pacific Fusion to scale its procurement work as it builds the world’s leading fusion systems.
To accomplish this mission you’ll work closely with our engineering, finance, regulatory, and executive teams, providing both legal advice and business judgement. Ideal candidates will have experience in a combination of hard tech, energy development, manufacturing, infrastructure or real estate, and a passion for contributing to a transformative and abundant clean energy future.
Help develop our contracting strategy as we scale our procurement and complex transactional work.
Quarterback a large portion of day-to-day legal activities, including executing on the variety of contract requests coming in the door.
Develop a set of core legal principles and playbooks that will inform contract reviews and provide related internal trainings to procurement and engineering teams.
Create consistent organization around existing executed contracts, including upgrading our CLM system.
Create processes and tools to scale our contract workflows, working closely with procurement and engineering leads, and deploy across the organization.
Help lead or substantially support our IP and other complex transactions.
Oversee external legal resources and manage work/spend.
Communicate progress on transactional matters across leadership.
Step in to support efforts in a range of other work areas.
Minimum of ~7 years of legal experience.
Substantial experience leading complex procurement transactions in the deep tech, hard tech, energy development, manufacturing, or infrastructure sectors.
Member in good standing of a state bar.
Experience with siting and development.
Combination of experience within a law firm and in-house.
Experience working with procurements for power plant or hard tech project developers.
Experience around governance, and fundraising, and certain employee matters.
Experience working in industries with complex regulatory environments.
Experience working closely with PhD scientists and R&D technology organizations.
