About This Role:

Crusoe is seeking a Legal Counsel – Finance and Corporate Development to join our legal team. Reporting to the Assistant General Counsel – Finance and Corporate Development, this role is a high-impact position that sits at the intersection of corporate finance and strategic transactions.

You will be a core member of a lean, growing legal team supporting some of the company’s most strategic and complex work, including corporate-level debt transactions, acquisitions, and major corporate transactions for a fast-moving, well-funded technology company. This role is well-suited for a candidate who is equally comfortable drafting term sheets as they are managing diligence or coordinating a complex closing.

What You’ll Be Working On:

  • Corporate Transactions: Work closely with the AGC to execute complex M&A and corporate debt financing transactions from initial diligence through negotiation, signing, and closing.

  • Agreement Drafting & Negotiation: Review, draft, and negotiate definitive transaction agreements, including credit agreements, purchase agreements, merger agreements, and ancillary documents.

  • Due Diligence Coordination: Conduct and coordinate legal due diligence, identifying key risks and summarizing findings for the AGC and business stakeholders.

  • Deal Management: Manage the completion of disclosure schedules, perfection certificates, and KYC requests; coordinate document flow with lenders and investment banks.

  • Post-Closing & Compliance: Assist with M&A post-closing integration and ensure ongoing compliance with corporate financing covenants, obligations, and reporting requirements.

  • Entity Management: Support entity formations, intercompany transactions, and related corporate functions across the organization.

  • Legal Operations: Maintain organized internal deal files and corporate records. Develop standardized templates and checklists to improve team efficiency and transaction consistency.

  • Cross-Functional Communication: Present complex legal concepts clearly to non-legal audiences and coordinate between outside counsel and internal teams (Finance, Tax, Corp Dev).

What You’ll Bring to the Team:

  • Education & Bar: Juris Doctor (J.D.) from an accredited law school and active bar admission in any state.

  • Experience: 3–4 years of experience in corporate law, with a specific focus on M&A and finance transactions at a law firm or in-house legal department.

  • Technical Expertise: Strong expertise in reviewing, drafting, and negotiating complex transaction agreements and managing deal processes from start to finish.

  • Governance Knowledge: Strong working knowledge of corporate governance and compliance best practices.

  • Organizational Skills: Exceptional attention to detail with the ability to manage multiple high-stakes workstreams simultaneously in a fast-paced environment.

  • Discretion: Demonstrated ability to handle sensitive and confidential information with extreme professionalism.

  • Tech Stack: Proficiency with Google Workspace, Microsoft Office, and AI tools (Claude, Gemini).

  • Safety and Compliance: This position is designated a safety-sensitive position and/or is located in a safety-sensitive facility. Drug and alcohol program participation is required.

Bonus Points:

  • Prior experience at a startup, AI company, digital infrastructure, or high-growth venture/PE-backed business.

  • Understanding of real estate transactions, construction, and development.

  • Experience with contract lifecycle management (CLM) or entity management platforms such as Ironclad.

  • Experience working directly with investment banks or institutional lenders.

Compensation Range

Compensation will be paid in the range of up to $204,000 -$255,000 + Bonus. Restricted Stock Units are included in all offers. Compensation to be determined by the applicants knowledge, education, and abilities, as well as internal equity and alignment with market data.
