About This Role:
The Construction and Real Estate Attorney will be responsible for providing expert legal guidance in construction contract negotiations, including AIA documents, real estate transactions related to data centers and colocation facilities, tenant leases, and due diligence for construction loans. The ideal candidate will have a robust background in both construction and real estate law, with specific experience in the data center industry.
A Day In The Life:
Construction Contract Management:
Negotiate, draft, and review construction contracts, including AIA documents, ensuring alignment with legal requirements and company interests.
Advise on contractual terms and conditions to mitigate risk and support project success.
Collaborate with project teams to resolve contractual disputes and manage contract performance issues.
Real Estate Transactions and Negotiations:
Manage legal aspects of real estate transactions, including acquisitions, dispositions, and development agreements related to data centers and colocation facilities.
Negotiate and draft purchase and sale agreements, lease agreements, and other real estate documents.
Perform due diligence on zoning, land use, and regulatory compliance specific to data centers.
Data Center Tenant Leases:
Draft, negotiate, and manage data center tenant leases, ensuring they align with industry standards and company policies.
Address lease disputes and work to resolve issues efficiently and effectively.
Colocation Tenant Leases:
Handle legal aspects of colocation tenant leases, including negotiations, drafting, and compliance.
Provide guidance on lease terms, renewal options, and other lease-related matters specific to colocation arrangements.
Due Diligence for Construction Loans:
Conduct thorough due diligence in advance of debt and equity leading processes to ensure we have everything the leaders and equity holders need.
Help respond to debt and equity holder questions on real estate diligence matters.
Ensure diligence moves quickly and is coordinated with the commercial teams especially to ensure title is ready for closings on expedited time frames.
Regulatory and Compliance Matters:
Stay informed about relevant laws and regulations affecting construction, real estate, and data centers.
Ensure compliance with federal, state, and local regulations in all related activities.
You Will Thrive in this Role if:
Education: Juris Doctor (JD) degree from an accredited law school.
Licensure: Active bar admission in any state.
Experience: Minimum of 5-7 years of experience in construction law and real estate transactions, with specific experience in AIA document negotiations, data center leases, colocation leases, and construction loan diligence.
Deep understanding of construction contract law, including AIA forms.
Expertise in real estate law related to data centers and colocation facilities.
Proficiency in drafting and negotiating tenant leases for data centers and colocation facilities.
Knowledge of construction financing and loan due diligence processes.
Excellent negotiation, drafting, and communication skills.
Strong analytical and problem-solving abilities.
Ability to work collaboratively with cross-functional teams.

Compensation Range:
Compensation will be paid in the range of $220,000 - $260,000. Restricted Stock Units are included in all offers. Compensation to be determined by the applicant’s education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data.
